These Terms of Use ('Terms') govern your access to and use of the GrowthDesk website and the services provided by CCLEATS (Pty) Ltd trading as GrowthDesk ('GrowthDesk', 'we', 'us', 'our').

By accessing our website, completing any form, booking a strategy call, or purchasing any service, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.

1. About GrowthDesk

GrowthDesk is a done-for-you business automation agency. We build and manage lead capture systems, nurture automations, and revenue visibility tools for South African solopreneurs and SMBs. All services are delivered through a managed platform environment operated by CCLEATS (Pty) Ltd.

2. Eligibility

Our services are available to individuals who are at least 18 years of age and are either sole traders, business owners, or authorised representatives of a registered business entity. By using our services, you confirm that you meet these criteria.

3. Service Descriptions

GrowthDesk offers tiered subscription services (Spark, Ignite, and Blaze) as well as optional add-on packages. The scope of each service is described on our pricing page and in your individual service agreement.

Service deliverables and timelines may be adjusted from time to time. Where a change materially affects an active client's service, we will provide no fewer than 30 days' written notice.

We reserve the right to decline to provide services to any individual or entity at our sole discretion.

4. Platform Access and Client Accounts

All clients receive access to a managed subaccount within our platform environment, configured and maintained by GrowthDesk on your behalf.

Admin rights: Clients do not receive admin-level access to the underlying platform. GrowthDesk retains administrative control to maintain service quality, security, and compliance.

Credentials: You are responsible for keeping your login credentials secure. Do not share credentials with unauthorised parties.

Bypass attempts: Any attempt to obtain admin access, reverse-engineer the platform, or circumvent our managed environment will result in immediate suspension and termination without refund.

Clients who attempt to bypass our platform controls will be moved to unsupported status and will forfeit any remaining service value.

5. Payment and Billing

5.1 Subscription Fees

Subscription fees are charged monthly in South African Rand (ZAR) unless otherwise stated. Fees are due in advance on the billing date agreed at sign-up.

5.2 Payment Methods

We accept payment via bank debit order (Netcash) and card (Payfast / Paystack). By authorising a debit order, you confirm that you have authority over the nominated bank account.

5.3 Failed Payments

If a payment fails, we will notify you via email and WhatsApp. A five business day grace period applies. If payment is not received within this period, your account may be suspended.

5.4 Price Changes

We may adjust subscription pricing with 30 days' written notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

5.5 Refunds

Subscription fees are non-refundable except where required by South African consumer protection legislation. Setup fees and once-off payments are non-refundable once work has commenced.

6. Cancellation

You may cancel your subscription at any time by providing 30 days' written notice to [email protected]. Your service will continue until the end of the notice period; no pro-rata refunds are issued for remaining days of a billing cycle.

GrowthDesk may terminate your subscription immediately, without refund, in the event of: a material breach of these Terms; non-payment beyond the grace period; or conduct harmful to our platform, team, or other clients.

7. Intellectual Property

7.1 GrowthDesk IP

All content on growthdesk.co.za — including text, images, videos, scripts, frameworks, funnel architectures, and automation workflows — is the intellectual property of CCLEATS (Pty) Ltd or is licensed to us. You may not reproduce, redistribute, or adapt this content without written consent.

7.2 Client Content

You retain ownership of all content, branding, and materials you provide to us. By submitting content for use in our platform, you grant GrowthDesk a non-exclusive, royalty-free licence to use, host, and distribute that content solely for the purpose of delivering your service.

7.3 Deliverables

Automation workflows, funnel builds, and content assets created for you are for your business use. Platform architecture, templates, and underlying systems remain GrowthDesk's proprietary property.

8. Acceptable Use

You agree not to use GrowthDesk services or platform to:

- Send spam, unsolicited commercial messages, or communications that violate applicable law

- Collect personal information from third parties without lawful authority

- Engage in fraudulent, deceptive, or misleading business practices

- Publish defamatory, offensive, or illegal content

- Attempt to interfere with or compromise our platform infrastructure

- Infringe the intellectual property rights of GrowthDesk or any third party

9. Results Disclaimer

GrowthDesk provides systems, tools, and automation infrastructure. We do not guarantee specific business outcomes, revenue results, or lead conversion rates. Results depend on factors including your offer, market, audience, and engagement with the tools we build for you.

Any case studies, testimonials, or results referenced in our marketing materials represent individual outcomes and are not indicative of typical results.

10. Limitation of Liability

To the fullest extent permitted by South African law, GrowthDesk's total liability for any claim arising from your use of our services is limited to the total fees paid by you in the three months preceding the claim.

We are not liable for indirect, consequential, or incidental losses, including loss of profits, loss of data, or reputational damage, whether arising from contract, delict, or otherwise.

Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded by law.

11. Third-Party Services

Our services integrate with third-party platforms and payment processors. GrowthDesk is not responsible for the availability, accuracy, or conduct of third-party services. Your use of those services is subject to their own terms and policies.

12. Privacy

Your use of our services is also governed by our Privacy Policy, which forms part of these Terms. A copy is available at growthdesk.co.za/privacy-policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or relating to these Terms shall first be referred to good-faith mediation. If mediation fails, the dispute shall be resolved by the Western Cape High Court, Cape Town.

Applicable legislation includes the Electronic Communications and Transactions Act (ECT Act), the Consumer Protection Act (CPA), and the Protection of Personal Information Act (POPIA).

14. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify active clients by email with at least 14 days' notice. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
